1. Acceptance of Terms

By accessing, browsing, or registering on ResellSetu (accessible via resellsetu.in), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must immediately cease using this platform and any associated services.

2. Platform Scope and Nature of Service

ResellSetu is a tech-enabled bridge designed to connect reliable manufacturers, wholesalers, and stockists ("Suppliers") with independent merchants ("Resellers") to facilitate product marketing, catalog sharing, and single-piece dropshipping with direct delivery to end customers in India.

The service is currently in its Phase 1 operating stage. Communications, inventory checks, tracking codes, and order coordinates are largely processed and moderated through official WhatsApp and email channels.

3. Absolute Reseller Income Disclaimer

ResellSetu functions strictly as a technology and fulfillment facilitator. ResellSetu does NOT guarantee, represent, or warrant any specific level of sales, income, volume, or profit to any Reseller.

The success and earnings of any individual Reseller depend entirely on their own marketing strategies, business costs, pricing decisions, markup policies, client acquisition efforts, and successful deliveries. Independent reselling carries standard retail risks, and results vary dynamically.

4. Code of Conduct for Resellers

Resellers registering on ResellSetu agree to the following obligations:

• Accurate Details: You must supply authentic contact details, physical shipping coordinates, and active catalog or social media references.
• No Fake Promotions: You must represent product sizes, materials, prices, and dispatch guidelines truthfully to end buyers. Do not make false quality or delivery speed claims.
• Financial Liability: Resellers collect payments from end-buyers. Orders are dispatched only after the respective items' cost is cleared with ResellSetu.
• No Brand Impersonation: You must market products under your own business identity. You must not claim to be an corporate employee, agent, or exclusive legal partner of ResellSetu.

5. Rules and SLA Expectations for Suppliers

Wholesale manufacturers and distributors onboarding as Suppliers agree to these strict SLA parameters:

• Catalog Verification: All uploaded catalog media, specifications, and availability details must represent real, on-shelf stock.
• Fulfillment & Sizing: Suppliers must support single-piece dropshipping dispatches directly to the end-customer's delivery coordinates.
• White-Label Priority: Unless explicitly agreed otherwise, all orders must be packed in standard white-label, unbranded boxes. No supplier invoice, brand pamphlets, or competitive pricing sheets may be enclosed.
• Courier SLA: Suppliers must strive to ship confirmed items within their declared average dispatch times (typically 24 to 48 hours) and provide authentic tracking details immediately.

6. Pricing and Margin

The price shown on a product is the price you pay at checkout. There is no separate commission and no monthly platform fee. You set the price you charge your own customer.

7. Account Verification Rights

A reseller account is active as soon as the WhatsApp OTP is verified and the required details are saved. Supplier applications may still be reviewed before products can be listed. ResellSetu can suspend an account that does not meet security, quality, or delivery standards.

8. Intellectual Property & Brand Assets

The "ResellSetu" name, corporate logo artwork (featuring the customized RS shopping bag graphic), slogans, layout design, stylesheet rules, and custom source files are the exclusive intellectual property of the platform. Unauthorized reproduction, reverse engineering, or brand misuse is strictly prohibited.

9. Online payments

Reseller checkout payments are collected online in Indian Rupees through licensed payment aggregators: Razorpay (primary) and PhonePe Payment Gateway (backup). Methods may include UPI, cards, and net banking. Payment confirmation is received from the aggregator. Refunds and cancellations follow our Refund & Cancellation Policy. Product returns follow our Return Policy. Delivery follows our Shipping & Delivery Policy. Charges are described on our Pricing page.

10. Governing Law & Dispute Resolution

These terms and conditions are governed by and construed in accordance with the laws of India. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts within Gujarat, India.
